1. Agreement to Terms

By accessing or using the VCB Logistics platform, mobile applications, or any services provided by VCB Logistics Limited ("VCB," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

2. Description of Services

VCB Logistics provides a technology platform that connects:

• Vehicle owners ("Fleet Partners") who wish to monetize their idle vehicles
• Professional drivers ("Drivers") seeking flexible earning opportunities
• Businesses and individuals ("Customers") requiring delivery and logistics services

3. User Accounts

3.1 Account Registration

To use certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account

3.2 Account Eligibility

You must be at least 18 years old to create an account. For Driver accounts, additional requirements apply including valid driving license, background checks, and vehicle documentation where applicable.

4. Driver Terms

If you register as a Driver, you additionally agree to:

• Maintain a valid driver's license appropriate for the vehicle class
• Comply with all applicable traffic laws and regulations
• Complete deliveries in a timely and professional manner
• Handle all parcels and goods with appropriate care
• Maintain adequate insurance coverage as required by law
• Submit to background verification checks
• Use the VCB Driver App as required for job assignments and tracking

5. Fleet Partner Terms

If you register as a Fleet Partner, you additionally agree to:

• Provide accurate information about your vehicle(s)
• Ensure vehicles meet safety and regulatory standards
• Maintain valid vehicle registration and insurance
• Allow VCB to conduct vehicle inspections
• Accept our driver matching and assignment protocols
• Maintain vehicles in good working condition

6. Payments and Fees

6.1 Payment Processing

All payments are processed through our secure payment system. We support various payment methods including bank transfers, mobile money, and card payments.

6.2 Driver Earnings

Drivers earn based on completed deliveries. Earnings are calculated based on distance, time, and delivery type. Payments are processed weekly unless otherwise specified.

6.3 Fleet Partner Earnings

Fleet Partners receive their share of earnings based on the agreed revenue split model. Detailed earnings breakdowns are available in the Fleet Partner Dashboard.

7. Prohibited Activities

You agree not to:

• Use the Services for any illegal purpose
• Transport prohibited or illegal items
• Misrepresent your identity or qualifications
• Harass, threaten, or discriminate against any user
• Attempt to circumvent our platform for direct transactions
• Share your account credentials with others
• Manipulate ratings, reviews, or feedback systems

8. Limitation of Liability

To the maximum extent permitted by law, VCB Logistics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Services.

9. Dispute Resolution

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the Lagos Court of Arbitration, unless otherwise required by applicable law.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the platform. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.
